Position Summary:
The Senior Corporate Counsel, IP/Litigation is responsible for
proactively managing the defense of IP claims made against Clorox and
the prosecution of IP claims against those infringing Clorox IP rights.
The focus of this role is on the defense and enforcement of patent,
trademark, copyright and trade secret rights working with Clorox legal
colleagues, Clorox business leaders and outside counsel. The role
includes interactions with and training of legal/IP and business
colleagues for the continuous improvement of IP rights clearance
processes and practices for consumer products sold around the globe. The
position reports to the Vice President - Associate General Counsel,
Intellectual Property.
Key Responsibilities:
- Manage the overall IP dispute and/or litigation process and
resolution, including collaborating with business colleagues, legal team
members and outside counsel.
- Counsel senior business stakeholders on options, strategies and risks
of IP disputes.
- Negotiate and draft settlement documents, including IP licenses.
- Partner with legal and business colleagues to drive proactive dispute
avoidance practices and training including patent freedom to operate
processes, trade secret handling practices, trademark and copyright
clearance processes.
- Work closely with legal and business colleagues to conduct and
support M&A IP diligence.
- Work closely with legal colleagues to ensure company contracts
(supply, partnering, consulting, materials handling, etc.) appropriately
protect company intellectual property and are consistent with Clorox IP
strategies and policies.
- Prepare and file (directly and through outside counsel) all
appropriate filings in the USPTO and patent authorities globally seeking
or opposing patent issuance.
- Handle all aspects of trademark opposition and cancellation
proceedings (directly or through outside counsel) in the US and Canadian
trademark offices.
- Team with Clorox legal, R&D, Marketing and other business colleagues
to continuously update, improve and implement IP strategies for the
capture of Clorox intellectual property rights globally.
- Team with Clorox legal, R&D, Marketing and other business colleagues
to continuously update, improve and implement strategies for the
avoidance of IP disputes relating to Clorox products globally.
Required Qualifications:
- Bachelor's degree; JD
degree; top tier undergraduate and law schools.
- Member of the California State Bar, or having the qualifications for
registration under the California State Bar in-house counsel program.
- 10+ years experience, including at least six years of IP litigation
experience.
- Registration at the USPTO as a patent attorney; significant patent
prosecution experience, including experience with patent reexamination
and reissue (strongly preferred).
- Experience in a top tier law firm.
- In-house legal experience in the consumer products industry.
- Strong case management capability - ability to define, refine, manage
and drive case strategies, working closely with business stakeholders
and outside counsel.
- Strong ability to develop, working with business stakeholders,
strategic deal/settlement/resolution options for the
settlement/resolution of IP disputes.
- Experience drafting settlement documents for the resolution of IP
disputes including, where appropriate, IP licenses.
